These Terms of Service (“Terms”) govern your access to and use of the websites, software, applications, integrations and services (together, the “Services”) provided by Macrohat Ltd (“Macrohat”, “we”, “us” or “our”), a company registered in England and Wales with its registered office at 73 Maltings Place, London, SW6 2BY, United Kingdom. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

Macrohat provides technology and software services, including tools that connect to and exchange data between third-party platforms you use (for example, accounting systems such as QuickBooks Online and Odoo) at your request and on your behalf. The specific features available to you may change over time as we improve the Services.

2. Your account and authorisation

Where the Services connect to a third-party account (such as your QuickBooks Online company), you authorise us to access and process the data in that account solely to provide the Services you have requested. You are responsible for having the authority to grant that access, and for the accuracy of the information you provide. You may withdraw authorisation at any time by disconnecting the integration or contacting us.

3. Acceptable use

You agree not to misuse the Services, including by: (a) using them for any unlawful, fraudulent or harmful purpose; (b) attempting to gain unauthorised access to any system or data; (c) interfering with or disrupting the integrity or performance of the Services; or (d) using the Services in breach of any third party’s terms (including the terms of the platforms we integrate with).

4. Third-party services

The Services interoperate with third-party platforms and APIs that are governed by their own terms and privacy policies. We are not responsible for those third-party services, and your use of them is subject to their respective terms. Connections are made only with your authorisation and used only as described in these Terms and our Privacy Policy.

5. Data protection and privacy

We handle personal data in accordance with applicable data-protection law (including the UK GDPR and the Data Protection Act 2018) and our Privacy Policy, available at https://macrohat.co.uk/privacy-policy/. We do not sell your data, and we use data accessed through connected accounts only to provide the Services to you.

6. Intellectual property

The Services, including all related software, content and trademarks, are owned by Macrohat or our licensors and are protected by applicable laws. These Terms do not transfer any intellectual property rights to you; we grant only a limited, non-exclusive, non-transferable right to use the Services for their intended purpose.

7. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, accuracy, or uninterrupted or error-free operation. You are responsible for maintaining your own backups of important data.

8. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded (including liability for death or personal injury caused by negligence, or for fraud). Subject to that, to the fullest extent permitted by law, Macrohat will not be liable for any indirect, special, incidental or consequential loss, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with the Services.

9. Changes to the Services and these Terms

We may update the Services and these Terms from time to time. Where we make material changes, we will update the “Last updated” date above and, where appropriate, provide notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with them.
